Thesis
The business
Strategy is not a software company with bitcoin inside: it is a holding of 846,000 bitcoin with a $498.3 million software business inside, funded with $6,710 million of debt and $15,462 million of preferred stock liquidation preference. The software does not generate positive operating cash flow and the company states it does not expect to over the next twelve months, so the preferred coupon and interest are paid from the dollar reserve, from proceeds raised by issuing shares, and, as disclosed by the company, from occasional bitcoin sales under a board-authorized monetization program.
The valuation
The method does not value an asset with no cash flow: it treats it as a monetary position and does not forecast its price. That is why bitcoin is held constant at the level of the last reported quarter and the valuation is expressed as the ratio of price to net assets attributable to common, which as of June 30, 2026 is $29,865 million against the preferred liquidation preference ($30,886 million if taken at book value).
At $127 the common has a market cap of nearly 1.6 times that net asset value. The proxy-on-net-assets archetype band runs from 0.8 to 1.0 times, and the ceiling is parity for a simple reason of the method: if you want the asset, you hold it directly rather than pay a premium for a leveraged wrapper. The base case closes at 0.9 times on net assets that, with bitcoin held flat, shrink by about $1,665 million a year from the preferred coupon, interest, and the software's cash burn: $52 per share over five years, -16% annually.
The margin of safety
No margin of safety: the price already discounts a demanding scenario. The adverse-scenario return is -16% annually and the favorable one -16%, meaning that even assuming parity with net assets and net assets that do not erode, the return does not turn positive: the starting point is a premium of about fifty percent over what the shareholder actually owns. The verdict is Overvalued, and it is not a judgment on bitcoin —whose price the method does not forecast— but on the wrapper: the same exposure is available without the premium, without the preferred coupon standing ahead of it, and without concentrated custody risk.
What to watch
Three things, all verifiable quarter by quarter. The first is the premium: if the price converges toward net assets per share, the wrapper's return runs out even if bitcoin rises. The second is leverage: preferred shares outstanding nearly doubled in six months, and each new series ranks ahead of the common and adds coupon. The third is the dollar reserve and the capacity to issue: as long as the software does not generate cash, the coupon is paid with issuance or with the reserve, and if both close off at once the company would have to sell bitcoin at the worst possible time.

Strategy is a leveraged holding vehicle over an asset with no cash flow, so the valuation metric is not an earnings figure but net assets attributable to common, and the multiple is the ratio of price to that net asset value. As of June 30, 2026 the press release balance sheet shows total assets of $52,563 million, total liabilities of $7,236 million, and Series A perpetual preferred stock at $14,441 million of book value, whose liquidation preference is higher: $15,462 million. Against that preference —which is what truly stands ahead of the common shareholder— net assets are $29,865 million; against the preferred's book value, $30,886 million. The model uses the former. The method decision that defines this profile: bitcoin is held constant at the level of the last reported quarter (846,000 units, $49,672 million of book value, against an original cost of $63,939 million and an average purchase price of $75,578 per unit, that is, a position underwater). Forecasting bitcoin's price would mean inventing a data point, and the method does not value an asset with no cash flow: the scenarios move only what is actually analyzable —the premium or discount to net assets, dilution, and leverage. How to read the model's mechanics. The revenue series is that of the legacy software business ($498.3 million over the trailing twelve months), which is real but immaterial to the value: the series' margin has been repurposed so that the valuation metric is net assets, and that is why the scenario carries the repurposed-margin flag and the net income row is not derived from the model. Year zero's operating income, −$36,356 million, is the bitcoin revaluation and not an operation; with the asset held constant there is no forward revaluation, so from year 1 onward operating income is that of the software in the trailing twelve months, −$40.5 million, once the bitcoin revaluation is excluded (fiscal 2025 ex-revaluation was −$40.9 million and fiscal 2024 ex-$1,790 million impairment was −$63.1 million). The net asset path in the base case falls by about $1,665 million a year, and that figure is not an assumption but arithmetic with bitcoin held flat: preferred dividends of about $1,603 million annually (annualizing the $400.7 million declared in the second quarter of 2026; $630.2 million was declared in the first half of 2026, of which $510 million was paid in cash; the company also discloses a reserve implying coverage of $1,786 million annually of dividends plus interest), $36.2 million of annual contractual interest —not GAAP interest expense— on the debt as of December 31, 2025 (the debt outstanding as of June 30, 2026, $6,710 million, is lower), and about $26 million of software cash burn, measured on the free cash flow of the trailing twelve months. The adverse scenario adds the growth in the preferred coupon —preferred shares outstanding rose from 78.2 million as of December 31, 2025 to 153.5 million as of June 30, 2026— and the favorable one assumes that issuing shares above net assets per share covers the coupon without eroding it. No new common stock issuance is modeled, and that is deliberate: its effect on net assets per share depends on the premium at which it is issued, which is exactly the variable being valued, so projecting it would double-count the same effect. The tax rate is the effective rate for the trailing twelve months computed from XBRL levels (a benefit of $5,859 million on a pretax loss of $36,273 million), and it is immaterial because the valuation does not run through an earnings figure.
Today's elevated multiple is the price of growth: if the business grows, the entry point cheapens on its own going forward (the metric grows while EV stays roughly flat). The exit multiple at 3 years is higher than the terminal at 5 years —at 3 years there is more growth still ahead—, so the value curve shows whether value creation is concentrated in the early or the later years. The business and its moat
The business: what it does and how it makes money
Strategy operates two things of a different nature under a single vehicle. The first, and the one that dominates the balance sheet, is the bitcoin treasury: since August 2020 the company has been accumulating bitcoin as its primary reserve asset, funded with issuances of Class A common stock and, since 2025, with five series of perpetual preferred stock that the company itself calls digital credit (Strife at 10%, Stretch at a variable rate, Stream at 10% in euros, Strike at 8% convertible, and Stride at a discretionary 10%). Bitcoin pays no interest or dividends: the only way to generate cash from it is by selling it.
The second is the legacy business: enterprise analytics and business intelligence software, monetized through on-premise licenses in gradual wind-down and thirty-six-month cloud subscriptions, sold by a direct sales force to companies and public agencies. It billed $477.2 million in 2025 and $498.3 million over the last twelve months, with the mix shifting toward the cloud: subscriptions grew 64.5% while support fell 16.2% and licenses fell 18.3%.
Scale and competitive position
The company describes itself in its 10-K as the largest corporate bitcoin holder in the world. As of February 13, 2026 it reported around 717,131 units acquired for $54,500 million; as of June 30, 2026 the holding was 846,000 units with a book value of $49,672 million. The bitcoin is spread across three regulated custodians —Coinbase, Anchorage, and Fidelity— with insurance that covers a small fraction of the total value, shared among all of each custodian's clients.
In software, the company had 1,539 employees at year-end 2025 and competes with much larger global providers. The scale that matters here is not commercial but access to capital markets: the strategy depends on being able to issue shares and preferred stock on a continuous basis.
The moat: why it's hard to compete
A holding vehicle has no operating moat, and it's worth saying plainly: anyone can buy bitcoin, including the shareholder itself, and since 2024 spot-listed funds do it with minimal fees and no leverage or issuer risk. What Strategy has is access to financing instruments that an individual holder does not —five series of preferred stock designed for different investor segments, plus convertible debt— and that is access, not a barrier: it depends on the market continuing to buy those issuances.
The software business does have real switching costs —multi-year cloud contracts, integration with the three major infrastructure providers, and federal public-sector authorization— but on a revenue base that is one percent of the asset: it does not move the valuation.
Moat direction and threats
The filing offers no evidence of a widening unit-economics gap, neither in the software —which does not publish per-customer retention or segment margin— nor in the treasury, where the first-mover advantage erodes as spot funds and other companies with the same strategy appear. The direction is declared stable for lack of positive evidence, not out of conviction.
The concrete threats are all in the filing: asset volatility, which in fiscal 2025 produced an unrealized loss of $5,403 million; dependence on external financing, because the software does not cover the coupon; counterparty risk with the custodians; the concentration of voting power in the founder, at around 35.8% through Class B as of June 30, 2026; and the possibility that a regulatory change could force the company to be treated as an investment company, or that stock indices could exclude digital-asset treasury companies.
Business / sector quality
- Relevant in 10 years (recurrence). The holding may keep existing, but the wrapper competes with cheaper, more direct ways of owning the same asset. The legacy software loses on-premise support at the end of 2026.
- Pricing power. It does not exist: the company does not set the price of its asset, it takes it. In the software, price is squeezed by the migration to the cloud.
- Moat and its direction. Narrow and stable. Access to the capital market is not a barrier to entry, and the filing shows no widening unit-economics gap.
- Capital cycle. Capital is pouring into the sector: spot-listed funds, other companies with the same treasury strategy, and traditional financial firms. That compresses any access premium.

Who runs it
- The company renamed itself from MicroStrategy to Strategy in August 2025, aligning its identity with the treasury rather than the software.
- The $1,000 million common stock buyback program is announced and unexecuted as of the July 30, 2026 press release.
- Preferred shares were bought back, however: between July 20 and July 26, 2026, 288,930 shares of the variable-rate series were retired, $28.9 million of notional, for $25.0 million in cash.
- In July 2026 the company raised the rate on the variable-rate series to 12.00% to keep it trading near its stated value of $100 per share.
- In May 2026 the company repurchased $1,500 million of face value of its 0% convertible notes due 2029 for about $1,380 million in cash, a discount of around 8%, with $113.9 million of gain on debt extinguishment.
- The company sold approximately $218.4 million of bitcoin so far in 2026 to fund part of the preferred dividends, under a board-authorized bitcoin monetization program (8-K dated July 30, 2026).

- Skin in the game. The founder holds effective control with about 35.8% of the votes as of June 30, 2026 and about 5.3% of the capital. There is alignment of conviction, and also concentration of decision-making.
- Capital allocation. It is no longer a single repeated decision: 2026 added the discounted convertible buyback (May, $1,500 million of face value for about $1,380 million in cash) and the preferred buyback (July), both accretive. The common buyback remains conditioned on trading below intrinsic value and unexecuted.
- Integrity / normalization. The filing is explicit about the uncomfortable parts: the aggregate cost exceeds the market value, the software generates no cash, and the coupon is paid with issuance and reserve.
Why it is not cheap
- The price fell substantially from its highs, and the catalyst is verifiable in the filings: bitcoin trades below the company's average purchase price ($75,578 per unit against an implied fair value of around $58,700), which produced revaluation losses of $5,403 million in 2025 and $8,315 million in the second quarter of 2026.
- At the same time leverage on the common grew: preferred shares outstanding nearly doubled in six months, and their $15,462 million liquidation preference ranks ahead of the common shareholder.
- The decline was not enough to close the gap: even after it, the common trades at around 1.5 times its net assets, that is, at a premium rather than a discount.
This section is about the market, and here the market is doing the opposite of discounting: it pays quite a bit more for the wrapper than the wrapper owns. That premium is exactly the verdict, because the method holds that a leveraged proxy on an asset with no cash flow only makes sense at a real discount: above parity, the same exposure is available directly, without a preferred coupon standing ahead of it and without issuer risk. There are no missing buyers or motivated sellers to explain a discount, because there is no discount.
Return asymmetry — risk/reward
The annual return (CAGR at 5 years) in each scenario, with the total period return below — the margin of safety made visual: upside range wide, downside range narrow.
Even in the bear scenario, the return holds at -20%/year (-66% total): the margin of safety protects the downside. The bull (-9%/year, -37% total) exceeds it comfortably — a favorable asymmetry, with a narrow downside range and a wide upside range.
Bear case — disconfirmation
- Leverage keeps growing at the pace of the first half: every new preferred series ranks ahead of the common and adds coupon, so net assets attributable to the common shareholder shrink even if bitcoin does not move.
- The premium disappears and the wrapper starts trading at a discount to its net assets, which is where the method holds it should be: on that alone, the return is negative even if the asset holds up.
- The pace of bitcoin sales to pay the preferred coupon —already underway under the board-authorized monetization program, with about $218.4 million sold so far in 2026— accelerates if access to the capital market closes and the dollar reserve runs out, reducing the units backing the net assets right at the worst possible time.
- A custodian becomes insolvent and the ownership right over the custodied asset is left unresolved: insurance covers only a fraction and is shared among all of that custodian's clients.
Bull case — the thesis for
- As long as the common trades above its net assets per share, every issuance adds net assets per share: it is the lever through which the wrapper creates its own value, and the company has been executing it.
- The $1,000 million common stock buyback program is unused and would be accretive if executed below net assets per share.
- The preferred buyback has already begun —$28.9 million of notional retired for $25.0 million in cash in July 2026— which lowers the coupon weighing on the common.
- The software is shifting to the cloud: subscriptions grew 64.5% in 2025 and, if the migration completes, the line stops burning cash and the coupon depends less on issuance.
- The May 2026 convertible buyback —$1,500 million of face value retired for about $1,380 million in cash, a discount of around 8%— is a clearly accretive capital allocation, and it lowered debt from $8,210 to $6,710 million.
Risks — what breaks the base case
- Asset volatility. Unrealized loss of $5,403 million in 2025 and $8,315 million in the second quarter of 2026, with the position below its average purchase price.
- Financing dependence. If the capital market closes and the dollar reserve runs out, the only way out is selling the asset to pay the coupon.
- Regulation and indices. A reclassification of the asset could subject the company to the Investment Company Act, and exclusion from indices would force sales by index funds.
