- SBC equals 47.7% of reported FCF (OCF − capex): real owner-FCF ex-SBC is $2,395M, less than half the FCF shown on the cash flow statement.
- Stock 44% below its 52-week high with no single catalyst identified in the sources available; the company disclosed to U.S. government agencies an internal investigation, over which the Department of Justice opened its own investigation (Note 18 of the 10-K).

The margin of safety
At the market price ($$127) the base case 5-year compound annual return is -2%, placing the stock in the "Overvalued" category. No margin of safety: the price already discounts a demanding scenario.
What to watch
The central disconfirmer is whether subscription growth and RPO keep decelerating in line with the projected path, or break more abruptly due to artificial intelligence agents disrupting the per-seat licensing model. Also watch the outcome of the Department of Justice investigation disclosed in Note 18 of the 10-K, and whether the professional services gross margin compression spreads to subscription.
